Acceptable Use Policy (AUP)

This Acceptable Use Policy ("AUP") governs the standards of conduct required for access to and use of the ExactFlow SaaS platform, including all dashboards, APIs, integrations, and related services (the "Service"). This AUP forms part of the Terms and Conditions governing your use of the Service.

ExactFlow provides technical infrastructure that aggregates and synchronizes data between independent marketplace platforms. The stability, legality, and continuity of the Service depend upon responsible and lawful use by all Customers. This AUP is designed to protect the integrity of our infrastructure, maintain our contractual relationships with Marketplace Platforms, ensure regulatory compliance, and safeguard other users.

By accessing or using the Service, you agree to comply with this AUP.

1. Marketplace Ecosystem Compliance

ExactFlow integrates with third-party Marketplace Platforms including, but not limited to, Amazon, Shopify, and eBay. Your use of the Service must at all times comply with the applicable terms, developer policies, and data protection requirements of each integrated platform.

You may not use the Service in any manner that directly or indirectly violates a marketplace's acceptable use policy, developer agreement, data protection policy, or enforcement program. Prohibited conduct includes, without limitation, the facilitation of review manipulation, artificial sales inflation, ranking manipulation, suspension circumvention, account farming, or any other activity designed to evade marketplace compliance systems.

ExactFlow reserves the right to suspend or terminate your access immediately if your activity results in a developer warning, audit, API restriction, or reputational risk to ExactFlow's standing with any Marketplace Platform.

ExactFlow is not affiliated with, endorsed by, or responsible for the enforcement decisions of any Marketplace Platform.

2. System Integrity and Infrastructure Protection

You may not engage in any activity that compromises, disrupts, or places an unreasonable burden on the Service or its underlying infrastructure.

This includes, without limitation, unauthorized attempts to access restricted areas of the Service, vulnerability probing, reverse engineering, decompiling proprietary synchronization mechanisms, bypassing API rate limits, conducting load testing without written authorization, credential sharing with unauthorized third parties, or using automated systems to extract data outside the intended functionality of the platform.

You acknowledge that ExactFlow maintains proprietary synchronization logic, forecasting methodologies, and system architecture that constitute confidential trade secrets. Any attempt to replicate or misappropriate such functionality is strictly prohibited.

ExactFlow may implement technical safeguards, rate limiting, traffic filtering, and automated abuse detection systems to enforce this AUP.

3. Prohibited Goods, Fraud, and Unlawful Conduct

The Service may not be used to facilitate, manage, or support unlawful trade or fraudulent schemes. This includes the sale or distribution of counterfeit goods, infringing products, regulated substances without authorization, restricted goods in violation of export laws, or any products prohibited under applicable law.

You may not use the Service in connection with fraudulent activities, including deceptive fulfillment practices, false tracking numbers, drop-shipping schemes designed to mislead consumers, payment fraud, or identity misrepresentation.

You further agree not to use the Service in connection with money laundering, terrorist financing, human trafficking, child exploitation, sanctions evasion, or any activity that would expose ExactFlow to civil or criminal liability.

4. Data Protection and Privacy Compliance

ExactFlow operates as a technical service provider and, where applicable, a data processor. You remain solely responsible for ensuring that any personal data uploaded, transmitted, or synchronized through the Service has been collected and processed in compliance with applicable data protection laws, including GDPR, UK GDPR, CCPA/CPRA, and other relevant regulations.

You may not upload personal data without a lawful basis. You may not use the Service to conduct unlawful profiling, automated decision-making in violation of data protection laws, or unauthorized marketing activities.

ExactFlow does not assume responsibility for the legality of Customer Data and disclaims any obligation to independently verify its lawfulness.

5. Artificial Intelligence and Data Extraction Restrictions

You are prohibited from using any output, data aggregation, system response, analytics pattern, synchronization methodology, or other proprietary output generated by the Service to train machine learning models, artificial intelligence systems, or competing commercial platforms without explicit written authorization.

You may not systematically extract, compile, or replicate ExactFlow's datasets or performance metrics for competitive or commercial advantage.

6. Export Controls and Sanctions Compliance

You represent and warrant that you are not located in, organized under the laws of, or ordinarily resident in any jurisdiction subject to comprehensive sanctions imposed by the European Union, United States, United Kingdom, or Poland. You further represent that you are not listed on any applicable sanctions list, including the OFAC Specially Designated Nationals list or the EU Consolidated Sanctions List.

You agree to comply with all applicable export control and trade compliance laws in connection with your use of the Service.

7. Monitoring, Investigation, and Enforcement

ExactFlow may, but is not obligated to, monitor use of the Service for compliance with this AUP. We maintain audit logs of system activity and API interactions for security and compliance purposes.

Where we reasonably determine, in our discretion, that a violation has occurred or may occur, we may suspend, restrict, or terminate access to the Service without prior notice. We may also preserve relevant evidence and cooperate with Marketplace Platforms, regulators, or law enforcement authorities where legally required.

Nothing in this AUP shall be interpreted as imposing an affirmative obligation on ExactFlow to monitor Customer conduct or assume responsibility for Customer activities.

8. Effect of Violation

Violation of this AUP may result in immediate suspension or permanent termination of your license to access the Service. ExactFlow may also blacklist associated business entities, domains, API credentials, and IP addresses to prevent further misuse.

Violations may additionally trigger indemnification obligations under the Terms and Conditions and may expose you to civil or criminal liability.

9. Survival and Updates

The provisions relating to data protection, intellectual property protection, sanctions compliance, enforcement, and indemnification shall survive termination of your account.

ExactFlow reserves the right to update or modify this AUP at any time to reflect changes in law, regulatory requirements, or marketplace standards. Continued use of the Service constitutes acceptance of the revised AUP.

Failure to enforce any provision of this AUP shall not constitute a waiver of our rights.
